1. Acceptance of these terms

These Terms and Conditions (the “Terms”) govern your access to and use of the website at www.goalsr.com and any content, features, or materials made available through it (together, the “Site”), operated by Goalsr Inc.(“Goalsr”, “we”, “us”, or “our”).

By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Scope: website only

The Site describes the services and products Goalsr offers, including embedded engineering and operations teams for the PCB industry, software and AI solutions, and ready-to-deploy products. Information on the Site is provided for general informational purposes and does not constitute an offer or a binding commitment to provide any service, product, price, or turnaround time.

Any services or products we provide to a customer are governed exclusively by a separate written agreement between Goalsr and that customer, such as a master services agreement, statement of work, order form, or license agreement, together with any applicable non-disclosure agreement. In the event of a conflict between these Terms and such an agreement, the agreement controls with respect to the services or products it covers.

3. Acceptable use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to any part of the Site, the server on which it is hosted, or any system or network connected to it, including administrative areas and APIs.
• Use any robot, spider, scraper, or other automated means to access the Site or harvest content or contact information, except for search engines and similar tools operating in accordance with our robots directives.
• Introduce viruses, malware, or other harmful code, or take any action that imposes an unreasonable load on our infrastructure or interferes with the proper working of the Site.
• Submit false, misleading, defamatory, infringing, or unlawful content through our contact form or by any other means, or impersonate any person or organization.
• Use the Site to send unsolicited commercial communications or to advertise products or services without our prior written consent.

We may suspend or terminate your access to the Site, without notice, if we reasonably believe you have violated these Terms.

The Site and its entire contents, features, and functionality, including text, graphics, logos, images, illustrations, page layouts, software, and the design, selection, and arrangement of all of these, are owned by Goalsr, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

The Goalsr name and logo, the names of our products, and all related names, logos, and slogans are trademarks of Goalsr. You may not use these marks without our prior written permission. All other names, logos, and marks on the Site are the trademarks of their respective owners.

You may view, download, and print pages from the Site for your own internal business use, provided you keep all copyright and other proprietary notices intact. You may not otherwise reproduce, distribute, modify, create derivative works of, publicly display, republish, or exploit any material on the Site without our prior written consent.

5. Informational content and insights

Articles, guides, and other content published in our Insights section and elsewhere on the Site reflect the views of their authors at the time of writing. They are provided for general information only and do not constitute engineering, financial, legal, tax, or other professional advice. Figures, benchmarks, and examples are illustrative and may not reflect your circumstances.

GOALSR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GOALSR, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ON IT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL GOALSR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DO NOT LIMIT ANY LIABILITY AGREED IN A SEPARATE WRITTEN SERVICES AGREEMENT BETWEEN YOU AND GOALSR.

10. Indemnification

You agree to defend, indemnify, and hold harmless Goalsr, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms or your use of the Site, including any content you submit.

11. Governing law and disputes

These Terms and any dispute or claim arising out of or relating to them or the Site are governed by the laws of the State of California, United States, without regard to its conflict-of-law provisions.

Any legal action or proceeding arising out of these Terms or the Site shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts. We encourage you to contact us first so we can try to resolve any concern informally.

12. General provisions

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Goalsr regarding your use of the Site and supersede any prior understandings regarding the Site. You may not assign these Terms without our prior written consent.

13. Changes to these terms

We may revise these Terms from time to time. The revised Terms take effect when posted on the Site, and the “Last updated” date at the top of this page will be updated accordingly. Your continued use of the Site after revised Terms are posted means you accept the changes, so please review this page periodically.
